License Agreement

This License Agreement (“Agreement”) is a legal agreement between you (“Licensee”) and Parfumania Paris 

Grant of License

Subject to the terms and conditions of this Agreement, Licensor hereby grants Licensee a limited, non-exclusive, non-transferable license to use (“Licensed Material”) solely for [insert purpose, e.g., personal, non-commercial, internal business use] during the term of this Agreement.

Restrictions

Licensee shall not:

– Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Licensed Material;
– Remove any copyright, trademark, or other proprietary notices from the Licensed Material;
– Use the Licensed Material for any unlawful purpose or in any manner inconsistent with this Agreement.

Ownership

Licensee acknowledges and agrees that Licensor retains all right, title, and interest in and to the Licensed Material, including all intellectual property rights therein. This Agreement does not convey to Licensee any ownership rights or interests in the Licensed Material.

Term and Termination

This Agreement shall commence on the date Licensee first accesses or uses the Licensed Material and shall continue until terminated as set forth herein. Licensor may terminate this Agreement at any time upon written notice if Licensee breaches any provision of this Agreement. Upon termination of this Agreement, Licensee shall immediately cease all use of the Licensed Material.

Disclaimer of Warranties

THE LICENSED MATERIAL IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE LICENSED MATERIAL, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law principles.

Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and representations, whether written or oral.

By accessing or using the Licensed Material, Licensee acknowledges that they have read and understood this Agreement and agrees to be bound by its terms and conditions.
